Layover AI Terms & Conditions

Please check this page periodically for updates. Continued use of the Service after any such changes will constitute your acceptance of the modified Terms.

1. Acceptance of Terms

By registering for or using the Layover AI platform , you agree to be bound by these Term. You must be at least 18 years old to create an account. If you do not agree to these Terms (or are underage), you should not use the Service. Use of Layover AI is subject to all applicable laws and you agree to comply with these Terms and all posted policies when accessing or using the platform. We reserve the right to refuse service, terminate or suspend accounts, or prohibit access if we determine you are in breach of these Terms.

  • By signing up or logging in (including via Google), you consent to the collection and use of any personal data provided to Layover AI, and you confirm you have read and accepted our Privacy Policy (available on our site) as well as Google’s terms when using Google authentication.
  • You agree to provide accurate information during registration and to keep your account credentials secure. You are fully responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate your account for any misuse or fraudulent activity.
  • Use of Layover AI must be lawful. You may not use the Service for any illegal or unauthorized purpose. You are responsible for complying with all laws, regulations and third-party terms when using Layover AI.

2. Service Description

Layover AI is a Hong Kong-based travel-planning platform (available in Hong Kong and the broader APAC region) that helps users manage bookings, create itineraries, and plan transportation. Our basic features are offered under a freemium model: the Free Tier provides core tools at no cost, while optional Premium Features (e.g. advanced itinerary analytics, priority support, or additional content) require a paid subscription. Payment and pricing details for premium services will be clearly stated in the app or on checkout. Layover AI may integrate with third-party services (e.g. Google Maps for route planning, external booking providers, or travel content from the web) to enhance the platform. However, using these third-party services is at your own risk; we do not control or endorse external content and services.

3. Accounts and Registration

Users register by email or via Google Single Sign-On. When you create an account, you agree that all registration information you submit is truthful and that you will update it as needed. You are responsible for keeping your password confidential and for any use of your account, whether or not you authorized it. If we suspect unauthorized or fraudulent use, we may suspend or delete your account.

  • Google Login: If you use Google to sign in, we receive certain profile information (such as your email address) under Google’s OAuth policy. We use it solely to authenticate you and may share it internally as needed. We are not responsible for Google’s handling of your data.
  • Account Security: You must keep your login details (password or Google credentials) secure. Do not share your account or use anyone else’s account. Notify us promptly of any breach of security.
  • Age Requirement: You represent that you are 18 or older. By using the platform, you warrant that you have the legal capacity to enter into this agreement.
  • Termination for Misuse: We reserve the right to suspend or terminate your account, or your access to the Service, at our sole discretion if you violate these Terms or engage in prohibited behavior.

4. User-Generated Content and Conduct

Layover AI allows users to upload, share or publish content such as itineraries, notes, travel tips, reviews or booking details (collectively, “User Content”). You retain all ownership rights in your content, but by posting it you grant Layover AI a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate and display your content on the platform and in promotional materials. This license is necessary for us to operate the Service (for example, to display your itinerary to other users). You may delete or edit your own content at any time, but please note that any content you shared publicly may be visible to others and may be retained on servers even after deletion requests.

Prohibited Content: You agree not to post any content that is illegal, infringing or harmful. Examples of forbidden content include comments that are threatening, false or unlawful; impersonation of others; content that infringes any copyright, trademark or other rights; hate speech; graphic violence; pornography; or any content that violates any applicable law. You also agree not to collect or publish personal data of others, or use Layover AI to engage in spam or commercial solicitation. To illustrate, one service’s terms forbid “posting material that infringes any legal right” or “personal attacks” If you violate these rules, we may remove your content and suspend or terminate your account. You are solely responsible for your User Content and for any consequences of posting it.

Disclaimers on User Content: Layover AI does not endorse any User Content. We disclaim all liability for it. We do not guarantee the accuracy or reliability of itineraries or tips shared by users, and you use any such content at your own risk. We also reserve the right to monitor, remove or refuse any User Content for any reason, at our discretion. We assume no responsibility for moderating content; any comments or advice from other users are their own opinions, not ours.

5. Intellectual Property License

All rights, title and interest in the Layover AI platform, its software, features, and original content (including text, graphics, logos, interfaces, code, and any Layover AI-created materials) are owned by Layover AI or its licensors. Except as expressly provided herein, you have no right to this intellectual property. Subject to your compliance with these Terms, we grant you a limited, revocable, personal, non-transferable, non-exclusive license to access and use the Service and Layover AI content for your own personal, non-commercial travel planning. You may not copy, modify, distribute, sell or create derivative works from any part of the platform without our written permission.

Ownership of User Content: As noted above, you retain ownership of anything you post. You warrant that you own all rights to your content and that posting it to Layover AI will not violate anyone else’s rights. You agree to indemnify Layover AI if any claim arises from your content (see “Indemnification” below).

6. Subscriptions and Payments

Layover AI’s core features are free. To access premium features, you must subscribe and pay the applicable fees. Paid subscriptions (e.g. monthly or annual plans) are billed in advance and, unless otherwise stated, automatically renew for the same period. By subscribing, you consent to this automatic renewal. You may cancel your subscription at any time, but cancellation will take effect at the end of the current billing cycle. There are no refunds for any fees already paid for the ongoing billing period. If you do not wish to continue, you must cancel before the renewal date. We reserve the right to change subscription fees or introduce new fees at any time, with reasonable advance notice.

All payments are made through third-party payment processors; you must comply with their terms. Layover AI does not store your full payment card details. You authorize us to charge your chosen payment method for all fees, taxes or other charges. If payment fails, we may suspend or cancel your subscription. You are responsible for providing accurate billing information and for any fees charged by your bank or card issuer.

7. Third-Party Services and Links

Layover AI may provide links to external websites or integrate third-party data (e.g. Google Maps, flight/hotel booking services, or external travel guides). These links and integrations are for your convenience only. We do not control, endorse or guarantee any information, products or services on third-party sites. For example, just as the Hong Kong Tourism Board makes clear that references to third-party services “do not constitute… endorsement”, Layover AI likewise does not endorse external content. We have no responsibility for any loss, damage or other issues resulting from your use of linked or third-party services. Your use of such services is governed by their own terms and privacy policies.

No Guarantee of Accuracy: We strive to provide up-to-date travel information, but we cannot guarantee the accuracy of any third-party data (such as maps, schedules or pricing). Your reliance on such data is at your own risk. We are not responsible for any errors, omissions, or changes in travel arrangements (e.g. flight delays, hotel availability, traffic conditions) that arise from third-party providers. We expressly disclaim liability for any outcome you experience in travel bookings or services arranged through our platform; as one travel agent’s terms note, they “make no representations or warranties of any kind” about travel services and your use of them is at your own risk.

8. Disclaimer of Warranties; Limitation of Liability

No Warranties: The Layover AI service is provided “AS IS” and “AS AVAILABLE,” with all faults. We do not make any express or implied warranties about the platform. We disclaim any warranty of merchantability, fitness for a particular purpose, uninterrupted service, or error-free operation. We do not guarantee that the Service will always be available, secure, or free from bugs or viruses, nor do we warrant the accuracy or completeness of any content (including your own or third-party content) on the platform.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYOVER AI (AND ITS OFFICERS, EMPLOYEES AND AGENTS) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE. This includes, without limitation, any loss of profits, data, goodwill or other intangible losses, even if we were advised of the possibility of such damages. Some jurisdictions may not allow the exclusion of certain warranties or limitations of liability; in such cases, our liability will be limited to the maximum extent permitted by applicable law.

In no event will Layover AI’s total liability to you exceed the amount paid (if any) by you to Layover AI in the 12 months preceding the claim. These disclaimers of warranty and limitation of liability apply whether the alleged liability is based on contract, tort, negligence, strict liability or any other legal theory. As one example, a related site’s terms state “in no event shall we be liable… for any direct, indirect, incidental, special, punitive or consequential damages… arising out of any use” of their service.

9. Privacy and Data Protection

Your privacy is important to us. Layover AI handles personal data in accordance with Hong Kong’s Personal Data (Privacy) Ordinance (Cap. 486) and our Privacy Policy. By using our Service, you consent to the collection, use and disclosure of your personal data as described in the Privacy Policy. We use your data to provide and improve the Service (for example, to personalize itineraries, send notifications, or process payments). We employ reasonable security measures to protect your data, but we cannot guarantee absolute security of any information transmitted to us.

You may view, correct or delete your personal information by accessing your account settings or contacting us at the address below. Unless required by law, we will not disclose your personal data to third parties except as described in the Privacy Policy or with your consent. We also use non-personal analytics (e.g. usage statistics or anonymized logs) to understand how the platform is used and to improve it. Such data is kept in aggregated form and does not identify you personally.

10. Indemnification

You agree to defend, indemnify and hold harmless Layover AI and its officers, directors, employees and agents from any and all claims, damages, liabilities, costs or expenses (including reasonable legal fees) arising from or related to: (a) your violation of these Terms; (b) your use or misuse of the Service; (c) your User Content; or (d) any actions taken by Layover AI at your direction or request. In short, you take responsibility for any legal issues stemming from your use of Layover AI, as is common in similar agreements.

11. Termination

Either party may terminate your access at any time. You may delete your account or discontinue use of Layover AI at any time. We reserve the right to suspend or terminate your account and access if you breach these Terms or use the Service illegally or in a harmful way. Upon termination, all licenses granted to you will immediately cease. You will remain liable for any obligations (including payment of fees) incurred prior to termination. We are not obligated to preserve any of your content after termination; content removal may be irreversible, and we disclaim all liability for any deletion of or failure to store your data.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Hong Kong without regard to conflict of laws principles. You agree to submit to the exclusive jurisdiction of the Hong Kong courts for any dispute arising out of or relating to these Terms. Alternatively, disputes may be resolved by arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) rules. Judgment upon any arbitration award may be entered in any court having jurisdiction. In any case, the applicable laws of Hong Kong will apply to all claims, whether sounding in contract, tort or statute.

13. Changes to Terms and Service

Layover AI reserves the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability. We may also revise these Terms from time to time. Updates will be posted on the platform or our website. Continued use of Layover AI after changes are posted signifies your acceptance of the new Terms. It is your responsibility to review the Terms periodically. We will not be liable if any part of the Service is unavailable due to technical issues, maintenance or other reasons.

14. External Links and Content

Layover AI may link to external resources or content (for example, travel blogs, booking sites, maps, etc.). Such links are provided for convenience and do not imply endorsement by Layover AI. We are not responsible for the content or accuracy of any linked site. You access any third-party links at your own risk and should review their terms of use and privacy policies.

15. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force. No delay or failure by Layover AI to enforce any right or remedy under these Terms will be considered a waiver of that right. Headings in these Terms are for convenience only and have no legal effect.

These Terms (together with any policies or guidelines referenced herein) constitute the entire agreement between you and Layover AI regarding the Service, superseding any prior agreements. You may not assign or transfer your rights under these Terms without our prior written consent. These Terms are binding on any successors.
